Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SoftRadix Technologies Pvt Ltd, a private limited company with office in India ("SoftRadix Technologies Pvt Ltd," "we," "us," or "our"), governing your access to and use of the SummarizeX mobile application and any related services (collectively, the "App").

By accessing or using the App, you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at [Link to Privacy Policy]). If you do not agree to these Terms, you may not use the App.

1. Acceptance of Terms

1.1. Agreement: By clicking "I Agree," "Sign Up," or by otherwise accessing or using any part of the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

1.2. Eligibility: You must be at least 13 years old to use the App. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you represent that you have reviewed these Terms with your parent or legal guardian and that both you and your parent/guardian understand and agree to these Terms. If you are using the App on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

2. Changes to Terms

We may modify these Terms at any time, in our sole discretion. If we do so, we will notify you by posting the modified Terms on this page and updating the "Last Updated" date. We may also notify you through the App or by email. Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the App.

3. The SummarizeX Service

SummarizeX is an AI-powered application that provides transcription, summarization, and analysis services for various types of content, including audio recordings, text documents, web content (via URLs), document files (e.g., PDFs), and images.

3.1. Free and Paid Tiers (Freemium Model)

The App is offered under a freemium model. You may access certain basic features for free. Advanced features, higher usage limits, and enhanced performance may be available through paid subscription plans. Details of these plans, including pricing, features, and cancellation policies, are provided within the App and are subject to change.

• Subscription Renewals and Cancellations: Unless explicitly stated otherwise within the App, all paid subscriptions automatically renew at the end of their respective billing periods (e.g., monthly, annually) at the then-current rate. You authorize us (or our third-party payment processor) to charge your payment method for the renewal term. You may cancel your subscription at any time through your account settings within the App. Cancellations will typically be effective at the end of the current billing cycle, and you will retain access to paid features until that time. Subscription fees are generally non-refundable, except where required by applicable law.

3.2. AI-Powered Nature

You acknowledge that the App utilizes artificial intelligence and machine learning technologies. While we strive for accuracy and quality, AI-generated outputs (transcriptions, summaries, analyses) may not always be perfect, complete, or free from errors, biases, or omissions. You are solely responsible for reviewing and verifying the accuracy and appropriateness of any output generated by the App before relying on it. SoftRadix Technologies Pvt Ltd does not warrant the accuracy, completeness, or reliability of any AI-generated content.

3.3. Third-Party Services

The App integrates with and relies on various third-party services for its functionality, including (but not limited to) AI model providers (OpenAI, Google, Deepgram), database and storage solutions (Supabase), authentication (Firebase), and subscription management (RevenueCat). Your use of the App is also subject to the terms and privacy policies of these third-party providers. We are not responsible for the practices of these third parties.

4. Account Registration and Security

4.1. Account Creation

To access certain features of the App, you must register for an account using your email address, Google account, or Apple account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2. Account Security

You are solely responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We will not be liable for any loss or damage arising from your failure to comply with this section.

5. User Content and Licenses

5.1. User Content Defined

"User Content" refers to any data, information, audio recordings, text, documents, images, URLs, or other materials that you upload, submit, or otherwise make available through the App for processing.

5.2. Ownership of User Content

You retain all ownership rights to your User Content. We do not claim any ownership over your User Content.

5.3. License to SoftRadix Technologies Pvt Ltd

By uploading, submitting, or making available User Content, you grant SoftRadix Technologies Pvt Ltd a limited, non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, copy, reproduce, transmit, modify, adapt, create derivative works from, publicly display, and distribute your User Content solely for the purpose of operating, improving, and providing the App's services to you, and for internal analytical purposes to enhance our service offerings. This license terminates when you delete your User Content from the App or terminate your account, except for residual copies that may remain in our backup systems for a limited period (as detailed in our Privacy Policy).

5.4. Representations and Warranties Regarding User Content

You represent and warrant that:

• You own or have the necessary licenses, rights, consents, and permissions to use and authorize SoftRadix Technologies Pvt Ltd to use your User Content as described in these Terms.
• Your User Content and its use by SoftRadix Technologies Pvt Ltd as contemplated by these Terms will not infringe, misappropriate, or violate a third party's intellectual property rights, privacy rights, publicity rights, or any applicable law or regulation.
• Your User Content does not contain any material that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.

5.5. Right to Monitor and Remove Content

We reserve the right, but have no obligation, to monitor, review, or remove any User Content at our sole discretion, without prior notice, for any reason or no reason, including if we believe that your User Content violates these Terms.

6. Prohibited Conduct and Acceptable Use

You agree not to engage in any of the following prohibited activities:

• Illegal Use: Use the App for any unlawful purpose or in violation of any applicable local, state, national, or international law, including, without limitation, laws governing intellectual property, data privacy, and export control.
• Infringement: Upload, post, or transmit any User Content that infringes or violates the intellectual property rights or other proprietary rights, privacy rights, or publicity rights of any third party.
• Malicious Activity: Engage in any activity that interferes with or disrupts the App's services or servers, or that introduces viruses, worms, Trojan horses, or any other destructive or malicious code.
• Unauthorized Access: Attempt to gain unauthorized access to any portion of the App, other users' accounts, or any computer systems or networks connected to the App.
• Automated Use: Use any robot, spider, scraper, or other automated means to access the App or extract data for any purpose without our express written permission.
• Misuse of AI Output: Use AI-generated content in a manner that misrepresents its origin (e.g., falsely claiming it was human-generated if that's not true for the context of its use), or for any purpose that is defamatory, misleading, or harmful.
• Commercial Resale: Reproduce, duplicate, copy, sell, resell, or exploit any portion of the App or its content for any commercial purposes without our express written permission.
• Reverse Engineering: Attempt to decipher, decompile, disassemble, or reverse engineer any of the software or components comprising the App.
• Harassment/Abuse: Engage in any form of harassment, abuse, or intimidation of other users or our employees.
• Circumvention: Bypass, circumvent, or attempt to bypass or circumvent any measures we may use to prevent or restrict access to the App (or other accounts, computer systems or networks connected to the App).
• High-Risk Use: The App is not designed or intended for use in situations where failure or inaccuracy could lead to death, personal injury, or severe physical, environmental, or financial damage. You agree not to use the App for such "high-risk" applications.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, removing the offending content from the App, suspending or terminating the account of such violators, and reporting them to law enforcement authorities.

7. Intellectual Property Rights

7.1. App Ownership

The App, including all its content, features, and functionality (excluding User Content), such as software, designs, text, graphics, images, video, audio, and their selection and arrangement, are owned by SoftRadix Technologies Pvt Ltd, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2. Limited License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial use, or for your internal business purposes if you are a paid subscriber, as permitted by these Terms.

7.3. Feedback

If you provide us with any feedback, comments, or suggestions ("Feedback") regarding the App, you grant us an irrevocable, worldwide, royalty-free, fully paid-up, perpetual, and transferable license to use, reproduce, modify, distribute, display, and perform the Feedback for any purpose without any obligation or compensation to you.

8. Disclaimers and Limitations of Liability

8.1. "AS IS" Basis

THE APP AND ALL CONTENT AND SERVICES PROVIDED THROUGH THE APP ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8.2. No Warranties & Service Availability

SoftRadix Technologies Pvt Ltd does not warrant that the App will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant that the results that may be obtained from the use of the App will be accurate or reliable, or that the quality of any products, services, information, or other material purchased or obtained by you through the App will meet your expectations. You acknowledge that the App may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.

8.3. AI Accuracy Disclaimer

As stated in Section 3.2, AI-generated content may contain errors, biases, or omissions. You are solely responsible for verifying the accuracy and appropriateness of any output generated by the App. SoftRadix Technologies Pvt Ltd specifically disclaims all liability for any inaccuracies, errors, or incompleteness in AI-generated outputs.

8.4. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOFTRADIX TECHNOLOGIES PVT LTD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (C) ANY CONTENT OBTAINED FROM THE APP; AND (D) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

8.5. Maximum Liability

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE APP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless SoftRadix Technologies Pvt Ltd, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the App.
• Your User Content.
• Your violation of any rights of another, including intellectual property rights.
• Your negligence or willful misconduct.

10. Termination

10.1. By You

You may terminate your account at any time by following the instructions within the App or by contacting us directly. Upon termination, your User Content will be handled in accordance with our Data Retention Policy as outlined in our Privacy Policy. For clarity, upon deletion of your account or specific content, such data is marked for immediate deletion from our active systems and is permanently and irreversibly deleted from our production systems and subsequent backup cycles within approximately 30 days.

10.2. By Us

We may suspend or terminate your access to and use of the App, at our sole discretion, without notice or liability to you, for any reason, including but not limited to:

• Your breach of these Terms.
• Your violation of any applicable law or regulation.
• If we suspect fraudulent, abusive, or illegal activity.
• If required by law or a governmental authority.
• For technical or operational reasons, such as service discontinuation or maintenance.

10.3. Effect of Termination

Upon termination, all rights and licenses granted to you in these Terms will immediately cease. Sections 5 (User Content and Licenses - regarding licenses granted to SoftRadix Technologies Pvt Ltd for previously processed content), 8 (Disclaimers and Limitations of Liability), 9 (Indemnification), 11 (Governing Law and Dispute Resolution), and 12 (Miscellaneous) will survive termination.

11. Governing Law and Dispute Resolution

11.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

11.2. Dispute Resolution - Amicable Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the App, both parties agree to first attempt to resolve the matter amicably through good-faith negotiations.

11.3. Arbitration (for disputes not resolved amicably)

If a dispute cannot be resolved through amicable negotiations within thirty (30) days, either party may elect to have the dispute exclusively resolved by binding arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (as amended) of India.

• The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. If the parties are unable to agree on an arbitrator, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996.
• The seat and venue of the arbitration shall be Mohali, Punjab, India.
• The language of the arbitration shall be English.
• The award rendered by the arbitrator shall be final and binding on both parties, and judgment may be entered thereon in any court having jurisdiction thereof.

11.4. Jurisdiction for Court Proceedings

Subject to the arbitration provisions set forth in Section 11.3, any legal action or proceeding arising directly from these Terms that is not subject to arbitration, or for the enforcement of an arbitration award, shall be brought exclusively in the courts located in Mohali, Punjab, India, and the parties hereby consent to the personal jurisdiction and venue therein. Notwithstanding the foregoing, either party may bring a lawsuit solely for injunctive relief in any court of competent jurisdiction to stop unauthorized use or abuse of the App, or intellectual property infringement without first engaging in arbitration.

12. Miscellaneous

12.1. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire and exclusive understanding and agreement between you and SoftRadix Technologies Pvt Ltd regarding your use of the App.

12.2. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

12.3. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

12.4. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.

12.5. Headings

The headings used in these Terms are for convenience only and shall not affect their interpretation.

12.6. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms for causes beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, major internet outages, or strikes.
